Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HomeHero Alliance, Inc. ("HomeHero," "we," "us," or "our"). These Terms govern your access to and use of our website, mobile applications, and all related services (collectively, the "Platform").

Platform Description

HomeHero is a technology platform that connects homeowners with renovation financing, design services, vetted contractors, milestone inspection services, and building materials. HomeHero is not a contractor, lender, real estate broker, or financial advisor. We facilitate connections between users and provide platform infrastructure, escrow management, and inspection coordination services.

Our platform includes the following services:

• LendHero: Renovation financing facilitation connecting homeowners with CDFI and bank lending partners
• RenderReady: AI-powered renovation design and visualization studio
• HeroVerify: Third-party milestone inspection and verification services
• HeroAgent: Referral partner program for licensed real estate professionals
• HeroMove: Relocation and moving coordination services
• HeroBricks: Commercial and multi-unit renovation services
• Design Center: Building materials and product selection portal

Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Be a resident of the United States
• Not be prohibited from using our Services under applicable law
• For contractors: hold all required state and local licenses and maintain current insurance
• For HeroAgents: hold a current, valid real estate license in the applicable state
• For lenders: be a licensed or chartered financial institution as required by applicable law

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Update your information promptly if it changes
• Keep your password secure and not share it with third parties
• Notify us immediately at security@homeheroalliance.com if you suspect unauthorized access to your account
• Not create multiple accounts to circumvent platform rules or restrictions

HomeHero reserves the right to suspend or terminate accounts that violate these Terms.

Homeowner Terms

Project Agreements

When you initiate a renovation project on HomeHero, you enter into a project agreement that governs your relationship with your selected contractor. HomeHero facilitates this agreement but is not a party to the contractor-homeowner relationship.

Accuracy of Information

You are responsible for providing accurate information about your property, including ownership status, existing conditions, permits, and HOA restrictions. Inaccurate information may result in project delays, cost overruns, or cancellation.

Project Access

You agree to provide reasonable access to your property for contractors to perform work and for HeroVerify inspectors to conduct milestone inspections as required under the project agreement.

Financing

If you apply for renovation financing through LendHero, you agree to the terms of your loan agreement with the applicable lending partner. HomeHero is not your lender and is not responsible for loan decisions or terms.

Contractor Terms

License and Insurance

You represent and warrant that you hold all required contractor licenses in every jurisdiction where you perform work, and that you maintain general liability insurance (minimum $1M per occurrence) and workers' compensation coverage as required by applicable law. You agree to provide updated documentation upon request.

Work Quality

You agree to perform all work in a professional, workmanlike manner in accordance with the project scope, applicable building codes, and industry standards. All work must be performed by licensed tradespeople where required.

Milestone Compliance

You agree to complete milestones in accordance with the project schedule and to submit accurate milestone completion documentation through the HomeHero platform. Submission of false or misleading milestone documentation is grounds for immediate termination and may result in legal action.

Background Check Authorization

By registering as a contractor, you authorize HomeHero to conduct background checks, including criminal history, sex offender registry, and business entity checks, at any time during your participation in the network.

Escrow Disbursements

Payment is conditioned on successful completion and verification of each project milestone. HomeHero does not guarantee payment where milestone inspections cannot be completed due to contractor failure to provide access or complete work as agreed.

HeroAgent Terms

Participation in the HeroAgent program is subject to these Terms and the HeroAgent Program Agreement you execute upon approval. Key terms include:

• You must maintain a current, valid real estate license throughout your participation
• Referral commissions are paid on project completion, not at referral time
• You may not misrepresent HomeHero services to clients or make promises outside the scope of the platform
• Commission rates are governed by the HeroAgent Program Agreement and may be updated with 30 days' notice
• HomeHero reserves the right to terminate HeroAgent status for violations of these Terms or the HeroAgent Program Agreement
• You are an independent contractor, not an employee or agent of HomeHero

Lender Terms

Financial institutions participating in the LendHero program are governed by their Partnership Agreement with HomeHero. By participating, lenders agree that:

• All loan origination, underwriting, and servicing complies with applicable federal and state lending laws
• Borrower data received through HomeHero is used solely for loan processing and not resold or repurposed
• CRA documentation generated by HomeHero is used only for legitimate community reinvestment reporting
• Disbursement instructions from the HomeHero escrow system are followed according to the Partnership Agreement

Payments & Escrow

Escrow Structure

Renovation project funds are held in escrow accounts managed by HomeHero's payment processing partners. Funds are disbursed to contractors only upon verified milestone completion as confirmed by HeroVerify inspectors. Homeowners agree that funds deposited into escrow are committed to the project and are not refundable except as provided in the project cancellation policy.

Platform Fees

HomeHero charges a platform service fee on each project, disclosed at the time of project initiation. Fee schedules may be updated with 30 days' notice for new projects. Fees for projects in progress are fixed at the rate in effect at project initiation.

Dispute Resolution for Payments

Payment disputes between homeowners and contractors are handled through HomeHero's dispute resolution process. HomeHero will hold disputed funds in escrow until resolution is reached or a court order is received. HomeHero's determination is final for amounts under $10,000; amounts above $10,000 are subject to the arbitration provisions in these Terms.

LendHero Financing

LendHero is a loan facilitation service. HomeHero is not a lender and does not make credit decisions. By applying for renovation financing through LendHero:

• You authorize HomeHero to share your application information with partner lenders
• You understand that approval is subject to each lender's underwriting criteria
• Loan terms, interest rates, and fees are set by the lending partner, not HomeHero
• You will receive a separate loan agreement from the lending partner governing your specific loan
• HomeHero's Y-Score model is an internal tool and is not provided to borrowers or used as the sole basis for credit decisions

HeroVerify Inspections

HeroVerify inspections are conducted by independent third-party inspectors coordinated by HomeHero. Important limitations:

• HeroVerify inspections verify milestone completion based on visual inspection and documentation review. They are not a substitute for municipal building inspections or code compliance certifications
• HomeHero does not warrant that inspections will identify all defects or code violations
• Homeowners and lenders who rely on HeroVerify reports do so at their own risk
• HomeHero's liability for inspection errors is limited as provided in the Limitation of Liability section

Intellectual Property

All content on the HomeHero platform, including software, designs, text, graphics, logos, and the RenderReady AI system, is owned by HomeHero Alliance, Inc. or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from HomeHero content without our express written permission. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purposes.

By submitting content to our platform (project photos, design preferences, portfolio materials), you grant HomeHero a non-exclusive, royalty-free license to use, display, and distribute such content for platform operations and marketing purposes.

Prohibited Conduct

You agree not to:

• Provide false, misleading, or fraudulent information on the platform
• Circumvent the platform to conduct transactions directly with users you met through HomeHero to avoid platform fees
• Harass, threaten, or discriminate against other users
• Reverse engineer, scrape, or copy the platform or its content
• Use the platform for any illegal purpose
• Interfere with the platform's operation or security systems
• Solicit other users' personal information for purposes unrelated to HomeHero projects
• Post false reviews or manipulate the contractor rating system
• Submit false milestone completion documentation

Disclaimers

HomeHero does not endorse any contractor, lender, or other third party accessed through the platform. You are solely responsible for evaluating the suitability of contractors, loan products, and other services.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMEHERO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO HOMEHERO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500.

HOMEHERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, PROPERTY DAMAGE, OR PERSONAL INJURY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow limitation of liability for personal injury or certain damages. In such jurisdictions, the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless HomeHero Alliance, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform in violation of these Terms
• Your violation of any applicable law or regulation
• Work performed or not performed by you (contractors)
• Content you submit to the Platform
• Your infringement of any third-party intellectual property rights

Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting HomeHero at legal@homeheroalliance.com. We will attempt to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Maricopa County, Arizona. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. All disputes must be brought individually.

Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction without waiving the right to arbitration. Claims under $10,000 may be brought in small claims court.

Termination

HomeHero may suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or other conduct we deem harmful to the platform or other users. You may terminate your account at any time by contacting us at support@homeheroalliance.com.

Upon termination, your right to use the Platform ceases immediately. Obligations that by their nature should survive termination (including payment obligations, indemnification, and dispute resolution) will survive.

Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona.
